JUNIOR FINANCIAL EXECUTIVES OF THE PHILIPPINES UNIVERSITY OF MAKATI CHAPTER
PREAMBLE
We, the members of the Junior Financial Executives of the Philippines– University of Makati Chapter, under the guidance of the Almighty God, motivated by the desire to foster and promote a well-founded organization to serve as a medium of expression of our ideals and aspiration, to protect and promote the welfare and interest of finance students, to assert a dynamic and responsible student leadership, and to attain a high degree of moral, social and intellectual growth, do ordain and promulgate this Constitution and By-Laws.
ARTICLE I: NAME AND PRINCIPAL OFFICE OF CLUB
Section 01NAME OF CLUB. The name of the organization shall be the JUNIOR FINANCIAL EXECUTIVES OF THE PHILIPPINES– UNIVERSITY OF MAKATI CHAPTER. The acronym of which is JFINEX-UMAK.
Section 02PRINCIPAL PLACE OF OFFICE. The office of the organization shall be located in the University of Makati, J.P. Rizal Extension, West Rembo, Makati City.
ARTICLE II:DECLARATION OF OBJECTIVES AND PRINCIPLES
Section 01To acquaint the members with the ideals and activities of the FINANCIAL EXECUTIVES INSTITUTE OF THE PHILIPPINES (FINEX). Section 02To foster educational advancement in the field of finance. Section 03To promote fellowship and brotherhood among the finance students. Section 04 The organization shall initiate extracurricular activities for the purpose of socio-economic consciousness, leadership qualities and high sense of responsibility among its members.
ARTICLE III: MEMBERSHIP
Section 01MEMBERSHIP QUALIFICATIONS. Membership is mandatory to all students taking up finance course. Section 02APPLICATION FOR MEMBERSHIP. Students who are qualified to be members of the organization are required to accomplish an application form. An annual membership fee shall be collected from every member.
A membership card shall be provided for all members. Section 03RIGHTS AND DUTIES OF MEMBERS. Every member must obey the rules and regulations of the organization as set down by these by-laws and the decision of the General Assembly and the Board. He must help promote the aims and purposes of the club, the welfare of its members and the movement as a whole.
The members specifically have the following rights and duties:
a.To attend all regular and special assembles called by the Senior Board of Directors;
b.To actively participate in all activities of the Local Chapter;
c.To renew every semester his membership and pay the corresponding fee;
d.To seek any elective or non-elective position in the organization if qualified;
e.To give suggestions or ideas for possible projects and improvements of the organization; and,
f.To withdraw membership when shifting to another course.
Section 04RENEWAL OF MEMBERSHIP. All members are required to renew their affiliation with the club every semester by paying membership dues.
ARTICLE IV:GENERAL ASSEMBLY OF MEMBERS
Section 01GENERAL ASSEMBLY. The general assembly shall be composed of all accredited members of the organization.
Section 02REGULAR ASSEMBLY. The regular assembly of members shall be called by Senior Board of Directors to be held at a place designated by the President before the regular class of every semester starts. The regular assembly shall be held once every semester.
Section 03 SPECIAL ASSEMBLY. Special assembly may be called at any time by the President or by the order of at least majority of the Executive Officers or when demanded in writing and upon written request of at least 50% of the members.
Section 04 QUORUM. Fifty percent (50%) of the total club members of good standing (members who have updated their membership with the club) shall constitute a quorum at any regular or special assembly.

ARTICLE VII: POWERS AND DUTIES OF OFFICERS
Section 01 PRESIDENT. The President is the Chief Executive Officer. It shall be his duties to:
a.Preside and supervise all the meetings and activities of the organization;
b.Form special committees and recommend with consent from other officers;
c.Sign and approve all disbursements and vouchers drawn against the organization and such other documents requiring his signature;
d.Possess the sole right to call for an emergency meeting; and,
e.Represent the club in all occasions in which it should be represented.
Section 02VICE PRESIDENT FOR INTERNAL AFFAIRS. The Vice President for Internal Affairs shall discharge particular duties of the President in the latter’s absence or inability to perform his duties. These duties are as follows:
a.Aid the president in handling the organization;
b.Take over as President if the Office is vacated.
c.To sign and approve all disbursements and vouchers drawn against the organization and such other documents requiring his signature;
d.To perform such other duties as are appertaining to his office or as maybe authorized by the President;
e.Be the adviser of the Academic Committee.
Section 03VICE PRESIDENT FOR EXTERNAL AFFAIRS. The Vice President for External Affairs shall discharge particular duties of the President in the latter’s absence or inability to perform his duties. These duties are as follows:
a.To represent the club in the Junior Financial Executives of the Philippines (FINEX) and in all occasions in which it should be represented;
b.Formulate the programs for image-building of the organization in the school;
c.To perform such other duties as are appertaining to his office or as maybe authorized by the President; and,
d.Be the adviser of the Information and Project Committee.
Section 04SECRETARY. The Secretary shall:
a.Check the attendance and be responsible for record-keeping;
b.Keep other pertinent documents of the organization. He shall see to it that all minutes are certified by him and attested by the presiding officer;
c.Monitor all activities of the organization;
d.Gather relevant and valid information and pertinent documentations. He shall thus, be required to be present in all significant events, programs, and activities relating to the organization;
e.Draft the calendar of activities for the coming year; and,
f.Perform other duties that maybe assigned to him by the Senior President..
Section 05ASSISTANT SECRETARY. The Assistant Secretary shall:
a.Aid the Secretary in the performance of his function and discharge the latter’s duties in his absence;
b.Perform other duties as maybe requested by theSecretary and the President;
c.Report to the organization adviser, as well as to those concerned, all agenda, plans, decisions, and other events that took place during the general assembly, and meetings of the Board.
Section 06TREASURER. TheTreasurer shall :
a.Perform all general functions regarding the financial aspect of the organization; Thus, have the custody of all funds, books of accounts and other assets of the organization;
b.He shall keep complete records of all cash receipts and cash disbursements of the club and shall submit reports whenever required by the Officers. All disbursements drawn by the organization shall be signed by the Treasurer and in his absence by the Assistant Treasurer and countersigned by the President and in his absence by the Vice President for Internal Affairs;
c.He shall also prepare the financial statement of the organization every end of the semester and provide other financial documentations as may be deemed necessary;
d.Report financial status of the organization every regular meeting and/or if desired by the president during emergency meetings;
e.Create the corresponding budget for each activity subject to the approval of the Executive Board. He shall coordinate to the Committee Heads on the implementation of various club activities.
f.He shall perform other duties that may be assigned to him by the President.
g.Be in close in coordination with the Vice-President for Externals in looking and getting funds for the organization; and,
h.Be the adviser of Finance and Membership Committee.
Section 07ASSISTANT TREASURER. The Assistant Treasurer shall:
a.Aid the Senior Treasurer in the performance of his functions and discharge the latter’s duties in his absence;
b.Perform other duties as requested by the Treasurer.
Section 08AUDITOR. The Auditor shall:
a.Examine and audit the financial statements of the organization, its books, vouchers and cash periodically. He shall have access at all times (reasonable hours) to the books, vouchers and other financial documents of the organization.
b.Submit his audit report to the Board every end of the semester;
c.Oversee the use of the organization’s properties and coordinate with the Project Committee in the performance of this function;and,
d.Perform other duties as maybe assigned to him by the Senior President from time to time
The Auditor shall examine and verify financial statements prepared by the Treasurer and shall certify its correctness before submitting it to the President.
Upon expiration of the Auditor’s term, the newly elected Auditor shall automatically conduct an audit of the Treasurer’s record of receipts and disbursements, money and other property belonging to the organization that he may have in possession, and render a comprehensive report on the same.
Section 09Business Manager. The Business Manager shall:
a. draft the calendar of activities for the coming year and shall create the corresponding budget for each item subject to the approval of the Senior Board.
b. coordinate to the Committee Heads on the implementation of various club activities.
c. he shall also perform other duties that maybe assigned by the Senior President from time to time.
The Junior Business Manager shall also perform duties but shall be limited to the Junior Board of Directors and Junior Assembly.
Section 10Web Manager. The Web Manager shall:
a. Shall maintain all files from blogs, website or any materialsposted in the internet.
b. make an updates of information regarding the Junior Financial Executives happenings.
c. Carry on the information and never tell to anybody the private data of our account.
Section 11RESPONSIBILITIES AFTER THE TERM. Upon the expiration of the term, or when removed or disqualified from position, all members of the Board, as well as Committee Heads and Committee Members, shall turn-over to their newly set of officers all the books, properties, money, valuable papers and other property belonging to the organization that they may have in possession.
ARTICLE VIII
COMMITTEES AND THEIR FUNCTIONS
Section 01COMMITTEES. The Standing Committees shall be the following:
·Academic Committee
·Finance and Membership Committee
·Project and Information Committee
Section 02COMMITTEE HEADS AND MEMBERS. Each committee shall be composed of five members and a head duly selected by the Executive Officers among the qualified finance students.
The Committee Head shall chair, oversee, and report all the activities of the committee as well as to equip their junior the necessary functions of their committee.
The number of committees and of its members could be reduced or increased from time to time, depending on circumstances.
Section 03ACADEMIC COMMITTEES. Its duties shall be:
·To make finance students aware of current developments in the field of Finance, and/or understanding of modern business practice, business ethics and social involvement;
·To acquaint members with ideals and activities of the Junior Financial Executives of the Philippines– University of Makati Chapter (JFINEX-UMAK);
·To prepare activities and programs such as quiz bees, trivia contests, and seminars, geared towards honing the socio-economic aspects and scholastic performance of its members;
·To conduct coaching class session for the finance students of each year level as deemed necessary; and,
·To perform such other duties as maybe assigned by the President.
Section 04FINANCE AND MEMBERSHIP COMMITTEE. Its duties shall be:
·To handle all fund-raising activities of the organization which includes the formulation and execution of these income generating projects;
·To recruit members;
·To keep and update membership and financial records;
·To assist the Treasurer in collecting fees and contributions from members;
·To turnover any fund collected and submit a summary report of collections and outstanding balances of members, if there any, to the Treasurer;
·Responsible for internal projects not academic in nature aimed in maintaining and enhancing the camaraderie of the members. Their projects includes Freshmen Orientation and JFINEX ID and,
·To perform such other duties as maybe assigned by the President.
Section 05INFORMATION AND PROJECT COMMITTEE. Its duties shall be:
·To disseminate information on coming projects and activities to members;
·To regularly update the organization’s bulletin;
·To implement proposals duly approved by the Board;
·To provide technical support during programs and activities being held by the organization;
·To be in charge and oversee of the use of the equipment and other properties of the organization under the guidance of the Auditor; and,
·To perform other duties that maybe assigned by the President .
ARTICLE IX
MISCELLANEOUS
Section 01REPORT. The Executive Officers, through the Information and Project Committee, shall render a report of every activity undertaken by the organization to be placed on the Bulletin Board of the organization.
Section 02RULES AND REGULATION. All rules and regulations to be imposed on the membership duly promulgated by the board through resolutions are hereby made part of this code of by-laws.
Section 03AMENDMENTS. This code may be amended, repealed or altered in whole or in part at a regular or special assembly called for the purpose by a vote of the majority of all the members constituting a quorum or by any other manner which they deem convenient provided proper approval of majority of the directors is manifested and well-presented.
Section 04EFFECTIVITY. The Constitution and By-Laws shall take effect immediately upon ratification by the majority of the Executive and after sufficient review and affirmation by the club advisers within the prescription period (period consist of seven working days upon receipt of proposed amendments). If after the prescription period the club advisers failed to affirm this code, it shall be deemed, affirmed and enforceable at once.
